1. Who these terms are between

These terms are an agreement between you and Mark Childs, a sole trader based in the United Kingdom, trading as VendMetrix (“we”, “us”). By subscribing to or using VendMetrix, you agree to them. Questions? Email info@vendmetrix.com.

2. What VendMetrix is

VendMetrix is a web app for vending machine operators: counting and recording takings, calculating site commission and charity shares, printing and emailing receipts, planning routes, tracking cash, and producing reports. It’s a record-keeping and management tool — it does not replace professional accounting, tax or legal advice, and you remain responsible for your own business records and obligations.

3. Your account

• Accounts are created when you subscribe. You must give accurate details and keep your password safe.
• You’re responsible for what happens under your account, including the team members you invite and the permissions you give them.
• You must be at least 18 and using VendMetrix for business purposes.

4. Subscriptions, billing and cancelling

• VendMetrix is a paid subscription, billed in advance through Stripe on the plan you choose (monthly, 3-monthly, 6-monthly or yearly). Subscriptions renew automatically.
• You can cancel at any time through the billing portal in the app (Settings → Subscription). You keep access until the end of the period you’ve paid for; we don’t give partial refunds for unused time. Your statutory rights are not affected.
• If a renewal payment fails, we may suspend access to paid features until payment is sorted. Your data stays safe in the meantime.
• If we change prices, we’ll give you notice before your next renewal so you can decide whether to continue.

5. Your data

The business data you put into VendMetrix is yours. We use it only to provide the service, as described in our Privacy Policy. You can ask for a copy of your data, or for its deletion, at any time.

6. Fair use

• Use VendMetrix lawfully and only for managing your own vending business.
• Don’t try to break, overload, copy or reverse-engineer the service, or use it to harm others.
• Don’t share your account with people outside your business — invite them as team members instead.

7. Availability and your records

We work hard to keep VendMetrix running smoothly, but no online service can promise to be available 100% of the time. The service is provided “as is”. Printed and emailed receipts give you and your sites a record outside the app — we recommend keeping them, as you would with any business records.

8. Liability

We’re not liable for indirect losses — such as lost profits or lost business — arising from your use of VendMetrix. Our total liability to you for any claim is limited to the subscription fees you’ve paid us in the 12 months before the claim. Nothing in these terms excludes liability that cannot legally be excluded (for example, for fraud).

9. Ending the agreement

You can stop using VendMetrix and cancel at any time. We may suspend or close accounts that seriously or repeatedly break these terms; if we do, we’ll tell you why. If we ever decide to shut the service down, we’ll give you reasonable notice and a way to get your data out.

10. Changes and governing law

We may update these terms from time to time; significant changes will be announced in the app or by email, and the date at the top shows the current version. These terms are governed by the law of England and Wales, and disputes belong to the courts of England and Wales.

The VendMetrix marketing website is provided to explain the product, pricing and contact options. If you use the website contact form, your message is handled as described in the Privacy Policy.
